Terms and Conditions
Parties
These Terms and Conditions ("Agreement") govern all residential construction, remodeling, and related services provided by Astoria Builders LLC ("Contractor"), AR License #0467400426, located at 1902 S 8th St, Suite 7, Rogers, AR 72756, to the homeowner or property owner ("Client") identified in the project quote or contract.
Scope of Work
The scope of work is defined in the written project quote or contract provided to the Client before work begins. Any changes to the scope of work must be agreed in writing through a signed Change Order before work on the change proceeds. Verbal agreements regarding scope changes are not binding on the Contractor.Quotes and Estimates
All quotes are valid for 30 days from the date of issue.
A signed quote or contract and deposit payment are required before any work begins.
Quotes are based on information available at the time of assessment. If site conditions, structural issues, or other factors are discovered during work that were not visible or disclosed prior to quoting, the Contractor will notify the Client and issue a Change Order before proceeding with additional work.
Price increases due to material cost changes after a signed contract will be communicated to the Client in writing before the affected materials are ordered.Payment Terms
A deposit of up to 40% of the total project value is required before work commences.
Progress payments are tied to project milestones as specified in the project contract.
Final payment is due upon completion of the project and before the final walkthrough sign-off.
Payments not received within 10 days of the due date are subject to a 1.5% per month late fee.
The Contractor reserves the right to suspend work on any project where payment is more than 10 days overdue until the outstanding balance is paid in full.Change Orders
Any change to the agreed scope of work — including additions, deletions, or substitutions — requires a written Change Order signed by both parties before the change is implemented. Change Orders will specify the change in scope, the adjustment to the project price, and any adjustment to the project timeline. Work on a change will not begin until the Change Order is signed and any additional deposit required is received.Project Timeline
The Contractor will provide an estimated project timeline at the time of contract signing. Timelines are estimates and are subject to change due to weather conditions, material lead times, permit processing delays, or other factors beyond the Contractor's reasonable control. The Contractor will communicate any significant timeline changes to the Client promptly. Delays caused by the Client — including delayed decisions on selections, delayed access to the property, or delayed payments — are not the responsibility of the Contractor.Permits and Inspections
The Contractor will obtain all required building permits for the project scope as required by the relevant NWA municipality. Permit fees are included in the project quote unless otherwise specified. The Client is responsible for ensuring that the property is accessible for inspections as required by the permitting authority. The Contractor will not be held responsible for project delays caused by the permitting authority's processing times.Materials and Substitutions
All materials to be used on the project are specified in the project quote or contract. If a specified material becomes unavailable or is discontinued, the Contractor will notify the Client and propose a comparable substitute of equal or greater value. Substitutions require Client approval before they are ordered. The Client may request material upgrades subject to a Change Order and price adjustment.Client Responsibilities
Provide accurate information about the property, existing conditions, and any known issues that may affect the project.
Ensure the property is accessible to the Contractor and their team during agreed working hours (Monday to Friday, 8:00 AM to 5:00 PM unless otherwise agreed).
Make timely decisions on material selections, approvals, and Change Orders to avoid project delays.
Make payments on schedule as specified in the contract.
Not interfere with or direct the work of the Contractor's team on site.Workmanship Warranty
The Contractor warrants all labour and workmanship for a period of one (1) year from the date of project completion. This warranty covers defects in workmanship and installation. It does not cover:
Damage caused by the Client, third parties, or events beyond the Contractor's control.
Normal wear and tear.
Damage caused by lack of maintenance.
Defects in materials supplied or specified by the Client.
Manufacturer warranties on materials and products are separate from this workmanship warranty and are subject to the respective manufacturer's terms.Liability
The Contractor's total liability to the Client under this Agreement shall not exceed the total contract value of the project. The Contractor shall not be liable for any indirect, consequential, or incidental damages arising from the project or these Terms.
The Contractor carries general liability insurance and workers' compensation insurance. Certificates of insurance are available on request.Subcontractors
Astoria Builders LLC does not use subcontractors for project work. All work is performed by the Contractor's direct employees. The Contractor is responsible for all work performed by its employees on Client projects.Dispute Resolution
In the event of a dispute arising from this Agreement, both parties agree to first attempt resolution through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Benton County, Arkansas, under the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney's fees and costs.Governing Law
This Agreement is governed by the laws of the State of Arkansas. Any legal proceedings arising from this Agreement shall be conducted in Benton County, Arkansas.Entire Agreement
These Terms and Conditions, together with the signed project quote or contract and any signed Change Orders, constitute the entire agreement between the parties. They supersede all prior verbal or written communications regarding the project. No modification to this Agreement is valid unless in writing and signed by both parties.Contact
